The RULG - Ukrainian Legal Group (RULG) has significant experience in the financial sector, including advising clients on securities laws and regulations, securities sale-and-purchase transactions, acquisitions and divestures of Ukrainian joint stock companies, setting up stock option purchase plans, advising all of the "Big Four" auditing firms on financial and regulatory compliance issues in Ukraine, advising international banks and institutions within the scope of M&A and investment projects and advising Western companies on cross-border financial data transfer. We have also advised on regulations regarding trading derivatives, debt, currency, and equities on Ukrainian stock exchanges, worked on investment banking deals in Ukraine, written and given presentations on initial public offerings, advised on international loan deals (including securing the loans), advised U.S. and European companies on the pledge of shares of Ukrainian companies and prepared draft share-pledge agreements and advised on secured transactions under Ukrainian legislation.
- Provided advice on all aspects of Ukrainian securities laws and regulations to numerous clients, in the context of securities sale-and-purchase transactions, acquisitions and divestitures of Ukrainian joint stock companies, circulation of securities in Ukraine and abroad, etc.
- Advised several Western clients setting up employee stock option purchase plans in Ukraine or permitting Ukrainian employees to take part in their international stock option plans
- Advised all of the "Big Four" auditing firms currently doing business in Ukraine, on Ukrainian regulations affecting their ability to comply with the provisions of the U.S.'s Sarbanes-Oxley Act.
- Advising on several international loan (including OPIC-guaranteed) deals, including advising on securing the loans and conducting due diligence on collateral used to secure the loans.
- Preparing several comprehensive overviews of Ukrainian law on financial services, banking, currency regime and relevant regulatory requirements, including for financing, pre-financing and securing transactions through pledges of movable property.
- Preparing a comprehensive overview of Ukrainian law on regulatory regime for investment banking.
- Advising on complex, multi-jurisdictional secured transactions, including one that involved a major European automobile manufacturer/seller, South American special purpose vehicles, a U.S. buyer/investor, and a Ukrainian subsidiary/recipient of investment.
- Advising on regulatory and contractual aspects of resident-to-nonresident subordinate loans.
- Drafting pledge and mortgage agreements for movable and immovable property, intellectual property rights, corporate equity stakes and accounts receivable to secure loans.
- Registering pledges and mortgages with the state.
- Assisting Western creditors in defending their interests in collateral owned by Ukrainian companies undergoing bankruptcy procedures.
- Advising U.S. financial institutions on requirements for trading common stock on Ukrainian stock exchanges.
- Advising Western banks on the requirements for trading derivatives, debt, currency, and equities in Ukraine.
- Performing due diligence on pre-initial public offering-companies and advising on IPO-related legislation.
